📌 This document is deliberately thorough: it clearly defines the rights and obligations of both parties to avoid misunderstandings. If anything is unclear, ask us before hiring. In case of any discrepancy between this English version and the Spanish version, the Spanish version prevails.
1Definitions and acceptance
"TD Solutions", "we" or "the Provider" is the digital agency based in Panama. "Client" is the person or company that requests or hires our services. "Services" includes web design and development, marketing, automation, hosting, maintenance and related services. Using the service, accepting a quote or making a payment constitutes full acceptance of these Terms, which prevail over any Client conditions unless a written agreement is signed by an authorized TD Solutions representative.
2Quotes and scope
- Quotes are informative and non-binding until accepted and the deposit is paid; they are valid for the period stated in the document (15 days by default).
- The scope is exactly and only what is listed in the quote. Anything not specified is out of scope and is quoted separately.
- TD Solutions is not obliged to perform work, features, integrations or changes that are not in writing in the accepted quote.
3Prices, taxes and changes
- Prices are in USD. Where applicable, ITBMS (7%) or any current tax is added.
- Launch or promotional prices are temporary and may change without notice for new engagements and future renewals.
- Recurring services (hosting, maintenance, subscriptions) may adjust their price with reasonable prior notice to the Client.
4Payments, deposit and late payment
- 50% deposit to start and 50% on delivery; or full payment online (card, PayPal or Yappy). We do not start work without the deposit. We do not work on credit.
- The deposit is NON-refundable once work has started, as it covers time and resources already committed.
- The balance is paid before final delivery or publication. While a balance is outstanding, TD Solutions may withhold delivery, not publish the site, or unpublish it.
- Late payment: overdue payments may lead to suspension of the service and the site. Reactivation may carry a cost. After 30 days of non-payment, TD Solutions may terminate the project, keeping amounts paid.
- Chargebacks: the Client agrees not to initiate improper chargebacks. An unjustified chargeback for services rendered is a breach of these Terms and entitles TD Solutions to suspend services and claim the amounts owed plus costs.
5Client responsibilities and content
- The Client delivers truthful, complete and timely content (copy, photos, logo, credentials). The delivery timeline pauses until it is provided.
- The Client represents and warrants that they hold all rights (ownership or license) to the content, trademarks, images and materials they provide, and that their use does not infringe third-party rights or applicable law.
- The Client is solely responsible for the legality of their business, products, promotions and the information published on their site.
6Indemnification
The Client shall hold TD Solutions, its partners and collaborators harmless from any claim, demand, fine, damage, cost or expense (including legal fees) arising from: (a) content, trademarks or materials provided by the Client; (b) the Client's use of the site or services; (c) the Client's products, services, promotions or business activity; (d) the Client's breach of these Terms or the law.
7Limited warranty and no guarantee of results
- We fix our own errors (bugs) in the delivered work free of charge for 30 days after delivery. Outside that period, fixes are quoted.
- Except for the above, services are provided "as is", without implied warranties of merchantability or fitness for a particular purpose.
- We do not guarantee commercial results: TD Solutions does not guarantee search rankings, traffic, sales, leads, conversions or any specific economic outcome, as these depend on factors beyond our control (market, competition, algorithms, user behavior).
- The warranty does not cover failures caused by third-party modifications, Client content changes, external hosting, or misuse.
8Third-party services and platforms
TD Solutions is not responsible for the availability, failures, policy changes, suspensions, fees or penalties of third-party services, including (without limitation): hosting and domain providers, Google, Meta/Facebook/Instagram, WhatsApp, payment gateways (PagueloFácil, PayPal, Yappy), social networks and APIs. The Client's relationship with those third parties is governed by each party's own terms.
9Hosting, domain and maintenance
- The plan price covers the development of the site. Hosting and maintenance are billed separately and are recurring (monthly or yearly): the first year is included and billing starts thereafter.
- The domain is registered in the Client's name. It includes the first-year registration of a standard .com; .com.pa, premium or already-registered domains are quoted separately; annual renewal is the Client's responsibility.
- If the Client does not pay maintenance or renewal, the site may be paused or unpublished, and after a reasonable period of non-payment the data/files may be deleted without liability for TD Solutions.
10Intellectual property
- Until full payment, all work remains the property of TD Solutions. Once paid in full, the Client receives ownership of the delivered site and the domain in their name.
- TD Solutions retains ownership of its methods, base templates, reusable components, framework code and know-how, for which the Client receives a usage license for their site.
- Third-party libraries, fonts, stock images and services keep their respective licenses.
11Approvals, revisions and scope changes
- We include up to 2 revision rounds on the quoted work; additional rounds or changes are quoted separately.
- The Client must review and approve deliverables. If there is no response within 7 business days after approval is requested, the stage is considered approved and the project moves forward.
- Scope changes requested after the quote is accepted are treated as additional work and quoted separately.
12Limitation of liability
To the maximum extent permitted by law, TD Solutions shall not be liable for indirect, incidental, special or consequential damages, loss of profit, loss of data, loss of opportunities, interruptions or reputational harm, even if advised of their possibility. TD Solutions' total aggregate liability for any claim related to the services is limited to the amount actually paid by the Client for the specific service giving rise to the claim.
13Cancellation and termination
- By the Client: cancellation before work starts (deposit refundable). Once started, the deposit is non-refundable and work performed to date is charged.
- By TD Solutions: we may suspend or terminate the service for non-payment, breach, illegal/abusive use, fraud or prohibited content, keeping amounts paid, without prejudice to collecting outstanding amounts.
14Backups and availability
After delivery/handover, the Client is responsible for their own backups and published content. TD Solutions does not guarantee uninterrupted availability (it depends on the hosting provider) and is not liable for data loss due to external causes, third-party attacks or non-payment of the service.
15Confidentiality
Both parties will keep confidential any sensitive information shared during the project (credentials, business data) and use it only to perform the service.
16Force majeure
Neither party is liable for failures caused by events beyond its reasonable control (natural disasters, power or internet outages, third-party failures, acts of authority, pandemics, etc.). Deadlines are extended for the duration of the event.
17Tax invoicing
Receipts and "invoices" issued by our system are billing documents and do not constitute an electronic tax invoice before Panama's DGI. Where required by law, the electronic tax invoice (CUFE + signature) is issued separately through the corresponding authorized provider.
18Data protection
We process personal data in accordance with Panama's Law 81 of 2019 on Personal Data Protection, solely to provide the service, invoice and give support; we do not sell it. Data subjects may exercise their rights of access, rectification and deletion by writing to us.
19Portfolio
Unless the Client requests otherwise in writing, TD Solutions may show the work performed in its portfolio and promotional materials, without disclosing confidential information.
20Governing law, disputes and final provisions
- These Terms are governed by the laws of the Republic of Panama; the parties submit to its competent courts, first seeking a good-faith resolution.
- If any clause is found invalid, the rest remain in force (severability).
- These Terms, together with the accepted quote, constitute the entire agreement between the parties and prevail over prior communications.
- TD Solutions may update these Terms; the current version is the one published on this page.
